1. Acceptance of Terms
By accessing www.novahealth.pro and engaging with Nova Health Lda ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to any part of these Terms, you may not use the website or engage our services.
These Terms apply to website access and use, consulting services and project engagements, training products and educational content, and business development and advisory services.
2. Services Offered
Nova Health Lda provides consulting services, training products and courses, advisory and assessment services, and bespoke business development support across life sciences. Services may be delivered in person, virtually, or digitally depending on the engagement.
3. Website Use and Access
3.1 License and Permitted Use
We grant you a limited, non-exclusive, non-transferable license to access and use www.novahealth.pro for lawful purposes. You may view, download, and print content for personal or business reference only.
3.2 Restrictions on Use
You agree not to modify, copy, distribute, republish, or redistribute website content without authorization; use automated tools, scrapers, or bots; attempt unauthorized access; upload harmful code; engage in illegal, fraudulent, defamatory, harassing, or threatening conduct; reverse-engineer proprietary systems; or use the website for competitive intelligence without authorization.
3.3 Intellectual Property
All content on www.novahealth.pro, including text, graphics, logos, design, and proprietary materials, is owned by or licensed to Nova Health Lda. Unauthorized reproduction or distribution is prohibited.
4. Consulting Services
Consulting services are provided on a project-by-project or retainer basis. The scope of work, deliverables, timeline, and fees are defined in a written proposal or Statement of Work signed by both parties.
We deliver consulting services with professional competence and care consistent with industry standards, but we do not guarantee specific business outcomes, market performance, or client success. Clients agree to provide accurate and timely information, make implementation decisions at their discretion, communicate changes promptly, secure necessary approvals, and maintain appropriate data security and confidentiality.
5. Training Products and Educational Content
Training products include online courses, webinars, educational modules, and learning resources. Upon purchase, you receive access to the specified content for the duration of your subscription or license period.
Training content is provided for professional development and reference purposes. It does not constitute professional advice, legal counsel, or regulatory guidance. You receive a non-exclusive, non-transferable license for personal professional development and may not share credentials, redistribute, republish, resell, create derivative works, or use content for competitive or commercial purposes without a separate license.
Completion certificates or credentials may be issued upon successful completion of course requirements. They do not constitute formal qualifications or accreditation unless explicitly stated.
6. Payment and Fees
Pricing is provided in written proposals, invoices, or product pages. All prices are in EUR unless otherwise stated and may change with notice. Consulting payment terms are specified in the SOW or invoice, training product payment is due upon purchase or checkout terms, and retainers are paid monthly or quarterly in advance as agreed.
Payment methods accepted include bank transfer, invoicing, credit card, PayPal, and Stripe where available. Late payments may incur reminders, interest at 10% per annum or the maximum permitted by law, service suspension, and collection costs. VAT and taxes apply according to client location and law.
7. Refund and Cancellation Policy
No refunds are issued for completed work or milestones delivered. If a project is cancelled before completion, payment for completed deliverables and time spent remains due, cancellation must be provided in writing, refunds for unused services are calculated pro rata for time-based engagements, and cancellation fees may apply.
Retainers may be cancelled with 30 days' written notice. No refunds are issued for the current period, and early cancellation may incur a termination fee. No refunds are issued for digital training products, courses, or educational content once access is granted except for EU consumer withdrawal rights within 14 days where the course has not been substantially accessed, or where technical defects cannot be remedied. Subscription cancellation takes effect at the end of the current billing cycle and access ends on the effective cancellation date.
Nothing in this policy limits statutory consumer rights.
8. Confidentiality and Non-Disclosure
During consulting engagements, both parties may share confidential information including business strategies, plans, performance data, client information, market insights, product or service information, financial or operational data, and proprietary methodologies or frameworks. Both parties agree to keep confidential information strictly confidential, limit disclosure to those with a need to know, use it solely for the engagement, and return or destroy it upon project completion when requested.
Confidentiality does not apply to information that is public, independently developed, rightfully received from a third party, or required to be disclosed by law or court order. Confidentiality obligations survive project completion for 3 years unless a separate NDA specifies otherwise.
9. Intellectual Property and Deliverables
Nova Health Lda retains ownership of all pre-existing intellectual property, tools, methodologies, templates, frameworks, and materials. Unless agreed otherwise, clients own final deliverables produced specifically for their engagement, while Nova Health Lda retains ownership of underlying methods, tools, and general frameworks. Full IP ownership or exclusive rights must be separately negotiated in writing. Training content remains the exclusive property of Nova Health Lda.
10. Warranties and Disclaimers
Nova Health Lda warrants that services will be delivered with professional competence and care, consultants have relevant expertise and qualifications, deliverables will be original work, and services will comply with applicable laws.
Except as expressly stated, Nova Health Lda provides services as-is without warranty of any kind. We do not warrant specific business outcomes, financial results, uninterrupted service, error-free delivery, certification, promotion, career advancement, fitness for a particular purpose, or merchantability.
11. Limitation of Liability
To the fullest extent permitted by law, Nova Health Lda's total liability for any claim arising from these Terms, website use, or service delivery shall not exceed the amount paid for the relevant service in the 12 months preceding the claim.
Nova Health Lda shall not be liable for indirect, incidental, consequential, special, or punitive damages; loss of profits, revenue, data, opportunity, or business interruption; reputational harm; third-party claims; or damages arising from misuse of services or advice.
12. Indemnification
You agree to indemnify, defend, and hold harmless Nova Health Lda, its officers, directors, employees, and agents from claims, damages, losses, or expenses arising from your use of the website or services, violation of these Terms, violation of law or third-party rights, content you provide, or implementation or misuse of recommendations or deliverables.
13. Termination and Suspension
We may suspend or terminate services or website access if you violate these Terms or law, engage in fraudulent, defamatory, or illegal conduct, fail to pay invoices for more than 30 days, breach confidentiality or IP obligations, or create risk to our reputation or operations. Upon termination, access ceases, fees remain due, and confidentiality, IP, refund, warranty, liability, and indemnification provisions survive.
14. Data and Privacy
Your use of www.novahealth.pro and engagement of services is governed by our Privacy Policy, incorporated into these Terms.
15. Third-Party Links and Services
The website may contain links to third-party sites, services, or products. We are not responsible for third-party content, accuracy, or practices.
16. Modification of Terms
Nova Health Lda may update these Terms at any time. Material changes will be posted on the website with a notice of the effective date. Continued use after changes constitutes acceptance.
17. Governing Law and Dispute Resolution
These Terms are governed by Portuguese law. Before formal legal proceedings, parties will attempt good-faith negotiation for 30 days and may then escalate disputes to mediation. Legal proceedings shall be brought in the courts of Portugal, while EU and EEA consumers retain rights to bring proceedings in their home member state's courts.
18. Entire Agreement
These Terms, together with the Privacy Policy, signed SOW or proposal, and separate confidentiality or IP agreements, constitute the entire agreement between you and Nova Health Lda.
19. Severability
If any provision is unenforceable, the remaining provisions continue in full force and the unenforceable provision will be modified to the minimum extent necessary to make it valid.
